4. No Guaranteed Results

These may include market conditions, offer strength, budget, sales follow-up, competition, platform changes, client responsiveness, website traffic quality, consumer behavior, and third-party platform performance.
Unless expressly stated in a separate written agreement, Mind Weapon Media does not guarantee specific revenue, profit, rankings, leads, sales, conversions, return on ad spend, or business outcomes.
5. Client Responsibilities
Clients are responsible for providing accurate information, timely approvals, access to required platforms, brand assets, account credentials when necessary, and any materials needed to complete the agreed services.
Client responsibilities may include:
- Providing accurate business, service, and contact information.
- Reviewing and approving content, ads, websites, and campaigns.
- Maintaining active payment methods for services and advertising platforms.
- Following up with leads, calls, messages, and appointment requests.
- Complying with applicable laws, platform rules, industry regulations, and advertising policies.
- Ensuring claims, offers, testimonials, guarantees, and business representations are accurate and lawful.
6. Payments and Billing
Fees, payment schedules, deposits, retainers, subscriptions, and billing terms will be stated in the applicable invoice, proposal, checkout page, subscription agreement, or written agreement.
Unless otherwise stated in writing, payments are due according to the terms presented at the time of purchase or agreement. Late, missed, failed, or disputed payments may result in paused work, delayed delivery, suspension of services, or termination of access.
7. Cancellations and Refunds
Cancellation terms vary depending on the service, agreement, subscription, or project. Unless otherwise stated in writing, payments already made for completed work, strategy, setup, creative production, software configuration, consulting, or reserved service time are non-refundable.
If a separate agreement includes specific cancellation or refund terms, that agreement will control.
8. Advertising Spend and Third-Party Costs
Advertising budgets, software subscriptions, domain fees, hosting costs, third-party tools, stock assets, plugins, payment processing fees, and external platform charges are separate from Mind Weapon Media service fees unless specifically stated in writing.
Clients are responsible for third-party costs associated with their business accounts, campaigns, platforms, websites, or systems.
9. Third-Party Platforms
Our services may involve third-party platforms such as Google, Meta, WordPress, Elementor, GoHighLevel, CRM systems, email providers, SMS providers, hosting companies, analytics tools, scheduling tools, payment processors, and other business software.
We are not responsible for outages, account restrictions, policy changes, pricing changes, data loss, approval delays, feature changes, or performance issues caused by third-party platforms.
10. Website, Automation, and CRM Systems
Websites, forms, automations, lead flows, CRM pipelines, email sequences, SMS workflows, tracking systems, and integrations may require ongoing maintenance, testing, platform compliance, and updates.
Client access to certain systems may depend on active subscriptions, account standing, third-party platform rules, and continued payment for applicable services.
11. SMS and Email Compliance
If services involve SMS, email, or automated communication systems, clients are responsible for ensuring that messages, campaigns, and contact lists comply with applicable laws, consent requirements, opt-out rules, platform policies, and industry regulations.
Mind Weapon Media may help configure communication systems, but the client is responsible for lawful use of their contacts, lists, offers, and messages.
12. Intellectual Property
Unless otherwise stated in a separate written agreement, Mind Weapon Media retains ownership of its internal systems, processes, strategies, templates, frameworks, source files, proprietary methods, training materials, and pre-existing intellectual property.
Upon full payment, clients may receive rights to use final approved deliverables created specifically for them, subject to the terms of the applicable agreement.
Drafts, unused concepts, rejected designs, source files, working files, templates, and internal systems are not transferred unless specifically agreed in writing.
13. Client Materials
Clients represent that they have the legal right to use and provide any logos, photos, videos, testimonials, brand assets, account access, copy, claims, offers, trademarks, or other materials supplied to Mind Weapon Media.
Clients are responsible for any claims, disputes, or damages arising from materials they provide or approve.
14. Portfolio Use
Unless restricted by a written agreement, Mind Weapon Media may display completed work, project screenshots, website designs, campaign examples, videos, creative assets, or general project descriptions in its portfolio, case studies, marketing materials, social media, or sales presentations.
15. Confidentiality
We take reasonable steps to protect confidential business information shared with us during the course of a project. Confidential information does not include information that is publicly available, independently developed, already known, or lawfully obtained from another source.
16. Limitation of Liability
To the maximum extent permitted by law, Mind Weapon Media shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost data, lost business opportunities, or business interruption.
Our total liability for any claim related to the website or services shall not exceed the amount paid by the client to Mind Weapon Media for the specific service giving rise to the claim during the three months preceding the claim, unless otherwise required by law.
17. Indemnification
You agree to defend, indemnify, and hold harmless Mind Weapon Media from claims, damages, liabilities, costs, or expenses arising from your use of our website or services, your violation of these Terms, your business practices, your approved content, your supplied materials, or your violation of any law, regulation, or third-party rights.
